Plain English Summary: Ctrlone is a commission calculation software service for automotive dealerships. You pay us, we build and maintain your commission tool. These terms explain what we do, what you agree to, and how we handle things if something goes wrong. Read them — they matter.

1. Who We Are

Ctrlone ("Ctrlone," "we," "us," or "our") is a software service operated by Ctrlone, headquartered in Colorado. We provide commission calculation tools and related services to automotive dealerships and dealership groups ("you" or "Client").

By accessing or using Ctrlone's services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the service.

2. The Service

Ctrlone provides web-based commission calculation tools built to match your dealership's pay plan. Our services include:

We aim for 99% uptime but do not guarantee uninterrupted access. We may perform maintenance with advance notice where possible. We are not liable for losses resulting from downtime.

3. Subscription and Payment

3.1 Setup Fee

A one-time setup fee is charged upon engagement to cover the build and configuration of your commission tool. This fee is non-refundable once work has begun.

3.2 Monthly Subscription

Monthly fees are charged automatically via Stripe on your billing date. Prices are as follows unless otherwise agreed in writing:

If payment fails, we will attempt to collect up to three times over seven days. If payment is not received, access may be suspended until the account is brought current.

3.4 Price Changes

We may change subscription pricing with 30 days' written notice. Continued use after the notice period constitutes acceptance of the new pricing.

Ctrlone calculates commissions based on the pay plan information you provide and the DMS data you upload. You are responsible for verifying that:

To the maximum extent permitted by law, Ctrlone's total liability for any claim arising from your use of the service shall not exceed the total amount you paid us in the three months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages, including lost profits or pay disputes.

The service is provided "as is." We make no warranty that the service will be error-free or meet every specific requirement of your business.

Ctrlone retains all intellectual property rights in the software, tools, and systems we build. You receive a limited, non-exclusive, non-transferable license to use the service during your subscription. You may not copy, resell, or distribute our tools without written permission.

8. Cancellation

8.1 By You

You may cancel your subscription at any time by notifying us in writing at hello@ctrlone.io. Cancellation takes effect at the end of the current billing period. Setup fees are non-refundable.

8.2 By Us

We may terminate or suspend your access for non-payment, violation of these Terms, or any conduct we reasonably determine is harmful to our service or other clients, with or without notice depending on the severity.

9. Confidentiality

Both parties agree to keep the other's confidential business information private. This includes your pay plan structures, employee data, and our pricing agreements. This obligation survives termination of the service.

10. Governing Law

These Terms are governed by the laws of the State of Colorado. Any disputes shall be resolved in Colorado courts, and both parties consent to jurisdiction there.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the service after that date constitutes acceptance.

We do not store your credit card information. All payment processing is handled by Stripe, which maintains PCI-DSS compliance. We receive only a payment confirmation and subscription status from Stripe.

Client Subscription Agreement

This agreement is between Ctrlone (Ctrlone) and the dealership signing below. It covers what we build, what you pay, and how we work together. Both parties sign before work begins.

2. Setup Timeline

Ctrlone will deliver the completed commission tool within 48–72 hours of receiving:

3. Payment Terms

3.1 Setup Fee

The one-time setup fee is due upon signing this Agreement. Work begins upon receipt of payment. The setup fee is non-refundable once Ctrlone has begun configuration.

3.2 Monthly Subscription

Monthly fees are charged automatically on the same date each month via the payment method on file. The first monthly payment is charged on the date the tool is delivered.

3.3 Late Payment

If payment fails, Client will be notified immediately. Access may be suspended after 7 days of non-payment. Reactivation requires payment of all outstanding amounts.

4. Pay Plan Updates

Ctrlone will update Client's tool whenever pay plans change at no additional charge. Client agrees to:

Major structural rebuilds (e.g., switching from flat rate to percentage-based across all roles) may require a new setup fee to be agreed upon separately.

Ctrlone calculates commissions based entirely on the pay plan information provided by Client and the DMS data uploaded by Client. Ctrlone is not responsible for errors resulting from:

Both parties agree to keep confidential all non-public business information shared in connection with this Agreement, including pay plan structures, employee data, and pricing. This obligation survives termination.

8. Term and Cancellation

This Agreement begins on the signing date and continues month-to-month until cancelled.

9. Limitation of Liability

Ctrlone's total liability under this Agreement shall not exceed the total fees paid by Client in the three months preceding any claim. Ctrlone is not liable for lost profits, pay disputes, employment claims, or any consequential damages.

10. Governing Law

This Agreement is governed by the laws of the State of Colorado. Disputes shall be resolved in Colorado courts.

11. Entire Agreement

This Agreement, together with the Ctrlone Terms of Service and Privacy Policy, constitutes the entire agreement between the parties and supersedes all prior discussions or understandings regarding the service.
